What is the difference between the proposed appointed and elected non-executive directors?

The only difference between elected and appointed non-executive directors is that it is the board (including the elected non-executive directors) which makes the initial appointment not a popular vote. If the membership don't like an appointed non-executive director then they can always vote against at the next AGM and then every 2 years, the same as for elected ones.

We believe that a company with the size and function of Nominet needs a board with a balance of skills and experience, which is what this proposal seeks to address.  Nevertheless, it's right that the membership should remain ultimately in control of who is on the board (and this is what we're proposing).

Why does Nominet want appointed non-executive directors?

Nominet has changed a lot in the 12 years since it was formed.  We used to have 100 members, now we have nearly 3,000.  In 1996 there were 26,000 domain names on the .uk register, now there are nearly 7,000,000.  Our turnover has grown to over £15m.  We have a unique, and important function on which many UK citizens and businesses depend: in 2006, the value of sales over the Internet in 2006 was £130.4 bn, and over 2/3 of companies are using the internet to assist their business (source: ONS, 2007 quoted in the Byron review).

Since our formation 12 years ago, our board composition has not changed.  We still strongly believe that, as a membership organisation, it is important to have a close link between the board and membership - which is why we're proposing to continue with the current 4 elected board members.

However, we also need to ensure that there is a balance of skills and experience at the board, and we believe it is in the company's best interests also to have board members from outside the industry - particularly, as we exist to run .uk in response to the needs of all UK stakeholders. 

Board directors are not mandated to represent a particular faction or interest group.  They are there to act in the best interests of the company.

We believe that the addition of two non-executive directors will strengthen and complement the existing board, and help Nominet to meet the challenges of the coming years.
